Common use of Evading and Avoiding Clause in Contracts

Evading and Avoiding. No Seller will engage in, or permit any Outfront Party or any of its or such Outfront Party’s Subsidiaries, Affiliates or any director, officer, employee, agent or other Person acting on behalf of any Seller or any of its Subsidiaries in any capacity in connection with or directly benefitting from the Agreement to engage in, or to conspire to engage in, any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in any Anti-Corruption Laws, Anti-Terrorism Laws and Sanctions.
