Common use of Euroclear and Clearstream Clause in Contracts

Euroclear and Clearstream. On or prior to the Closing Date, Euroclear Bank SA/NV, as operator of Euroclear and Clearstream Luxembourg shall have accepted the Notes for its book-entry settlement system and approved the form of the Registered Global Notes, on or prior to the Closing Date.
