Estimated Value. The estimated per share value of the Common Stock for the purpose of determining the number of shares to be delivered at Closing under Section 2.4.2(a)(ii) shall be an amount equal to the average closing sales price of the Buyer's common stock on the New York Stock Exchange composite tape on each of the fifteen (15) consecutive trading days immediately preceding the second business day prior to the Closing Date.
