Escrow Account Deposit. Cause NEP to deposit into the escrow account pursuant to the Escrow Agreement (as defined in the EPC Contract (SUF)) any increases in the cost allocations of system upgrade facilities to NEW and/or NCW, pursuant to the Annual Transmission Reliability Assessment and Attachment S of the NYISO Open Access Transmission Tariff, resulting from the failure of Noble Altona Windpark, LLC, Marble River LLC (and its subsidiaries) or any other party to such documents to pay its/their allocated costs pursuant to the Annual Transmission Reliability Assessment and Attachment S of the NYISO Open Access Transmission Tariff, it being understood that in no event shall any of the Loans or Project Revenues be used for making such deposit.
Escrow Account Deposit. Within three (3) Business Days of the Effective Date, the Buyer shall pay into the Escrow Account a deposit of seventeen million United States Dollars (USD17,000,000.00) (the "Deposit").
Escrow Account Deposit. The Developer shall make an initial deposit of TWENTY-FIVE THOUSAND DOLLARS ($25,000) within five (5) days after the date of approval of this Agreement by the City Council. The City Administrator shall cause all Moneys received from the Developer to be deposited into an interest bearing account maintained by or at the direction of the City Administrator (the “Escrow Account”), with any interest earnings retained by the City for administration of the Escrow Account. The City Administrator will provide for separate accounting of the Escrow Account and in the event the balance of the Escrow Account becomes equal to or less than $2,500, the City Administrator shall provide notice to the Developer, and the Developer shall deposit an additional $15,000 into the Escrow Account within five (5) business days of receipt of such notice. The Developer and the City agree that the Developer shall not be required to deposit more than a total aggregate amount of FIFTY THOUSAND DOLLARS ($50,000) to the Escrow Account unless the Developer and City agree to amend this Agreement in writing. Developer expressly acknowledges that in the event the maximum amount has been reached or exceeded that until an agreement on a new maximum amount is reached between the City and Developer, the City and its consultants shall cease work related to the development project.
Escrow Account Deposit. If the Closing Date does not occur by May 2, 2016, the Parent shall, within five Business Days, make deposits in the Escrow Account in an amount such that, after such deposit, the aggregate amount on deposit in the Escrow Account (and subject to the Escrow Agreement) is $850,000,000.
