Equity Raises. The Company shall use its reasonable efforts to raise proceeds from an equity offering off its effective shelf registration statement.
Equity Raises. So long as the SF Investor is the beneficial owner, directly or indirectly through its Affiliates, of greater than 3% of the Ordinary Shares issued and outstanding, the issuance of Ordinary Shares and any other securities (including any equity securities or debt securities that are convertible into Ordinary Shares or other equity securities of the Company or any of its subsidiaries) by way of capital markets fundraises (other than under the ELOC or similar “at-the market” facility), and the terms on which they are issued, shall be subject to the approval by either (i) a majority of the independent members of the Board or (ii) a committee of independent members of the Board.
