Equipment Modifications. 5.1 The Contractor is to advise the Authority when mandatory and other modifications are required for installation on equipment received under the SOR, and to include options within the menu prices for supply of kits and when Ministry supplied parts are used. Should the Contractor require the Authority to supply the modification kits from Bonded Stores then a formal request is to be passed to the Authority in support of each DEFFORM 300 or P2P order task.

Equipment Modifications. OAI will give the Company at least 90 days’ prior notice of modifications to the Equipment that will likely result in incompatibility/ineffectiveness of the Products with respect to the Equipment. The Company shall not be in default hereunder if it is unable to conform the Products to such Equipment modifications.
Equipment Modifications. ‌ If, after the initial construction, installation or other work is completed, Licensee proposes to modify existing Equipment or install new equipment on the existing License Area, and such proposal is different in any material way from the specifications or design configurations shown in the Approved Plans, then Licensee shall first obtain the City’s consent to modify the Site License to reflect the material difference, which the City shall approve or deny in accordance with the City’s small cell design standards and/or other applicable Laws. No consent shall be required for any modification to existing Equipment that (a) involves only substituted internal components or replacements of like-kind equipment; (b) will be in compliance with applicable Laws (such as radio-frequency emission standards); (c) does not result in any material change to the Equipment’s external appearance, dimensions or weight; and (d) does not cause any interference with any municipal functions or equipment. In any case, Licensee’s modification shall be performed in compliance with all applicable provisions in this Master License, which includes, without limitation Licensee’s obligation to obtain and pay for all Regulatory Approvals required for the proposed modification.
Equipment Modifications. 11.1 Prior to shipment, Calypso may at any time make changes in Equipment or modify the drawings and specifications relating thereto or substitute Equipment of later design, provided the changes, modifications or substitutions under normal and proper use do not impact upon form, fit or function of the ordered Equipment or materially adversely affect the use, function, or performance of the ordered Software. With respect to changes, modifications, and substitutions which affect the form, fit, function, use or performance of an ordered Equipment. Calypso will notify Customer in writing 90 days prior to their effective dates. In the event any such change is not desired by Customer, Customer will notify Calypso within 30 days from the date of notice and Calypso will not furnish any such changed Equipment to Customer on any orders in process at the time Calypso is so notified. Calypso may discontinue any Equipment or Software Release if Calypso gives Customer at least one year's notice thereof. In such event, Calypso will provide Customer with a suggested replacement at the same time for the remainder of the term of this Agreement. Customer will have the right to substitute the replacement product for the Equipment under this Agreement, at a price to be negotiated by the parties. If Customer elects not to use the suggested replacement product, Calypso will offer Customer a one-year period beginning the day of the notice of discontinuance within which Customer can place orders for the discontinued Equipment. Customer may give a last order ("One Time Buy ------------ Order") immediately prior to the end of the six-month period. The One Time Buy Order is non-cancelable. non-reschedulable and non-returnable; except as otherwise provided in this Agreement. Products ordered with the One Time Buy Order will be delivered to Customer as requested by Customer but no later than one year alter the notice of discontinuance.

Should the Contractor require the supply of Authority purchased modification kits held in the Bonded Stores then a formal request is to be passed to the Authority in support of each affected Electronic Demand Order.

Equipment Modifications. None of the equipment owned, leased or otherwise used in the conduct of the Business by any Corporate Group Member (whether owned by a Corporate Group Member, or a Contractor, Agent or third party), including, without limitation, trucks, tractors, trailers and material handling equipment, has been modified in such a manner as to render same unsafe or to adversely affect any warranty or insurance coverage with respect thereto. Provided, however, that the representations in this Section 8.24, as they relate to equipment provided to the Business by a Contractor (including any owner-operator) or Agent, are based upon the Best Knowledge of Seller.
