Except as set forth in Schedule 1.1(iv) to the Disclosure Schedule and except as disclosed in the Phase I Environmental Assessments,(a) ▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇▇ ▇▇▇▇▇ have, with respect to the Business, complied, and they are in compliance, with all Environmental Requirements enacted on or prior to Closing except for such failures to comply or be in compliance as have not had, and would not reasonably be expected to have, a Material Adverse Effect.
