Environmental Expert Clause Samples

The Environmental Expert clause designates a qualified individual or entity to provide specialized advice or determinations on environmental matters relevant to the contract. Typically, this clause outlines the process for appointing the expert, the scope of their authority, and how their findings or decisions will be used to resolve disputes or inform compliance with environmental regulations. Its core function is to ensure that complex environmental issues are addressed by a neutral, knowledgeable party, thereby reducing uncertainty and facilitating resolution of technical disputes.
Environmental Expert. The determination of a disputed environmental matter shall be conducted by a single environmental expert (“Environmental Expert”). The Environmental Expert shall be neutral, not an affiliate, employee or currently engaged consultant of either Party (nor of any of their Affiliates), and shall be an individual with a nationally recognized independent environmental consulting firm with at least ten (10) years of experience evaluating environmental matters associated with oil and gas properties in geographic area where the Assets subject to such dispute are located.
Environmental Expert. If, pursuant to Section 5.4, the existence of an Environmental Defect or an Environmental Defect Amount thereof is submitted for expert review as to the validity and/or value of the Environmental Defect, then the determination shall be conducted pursuant to this Section 5.5. The determination shall be conducted by a single environmental expert (the “Environmental Expert”). The Environmental Expert shall be neutral, not an affiliate, employee or consultant of either Party and shall be an attorney with at least 10 years of experience who practices environmental law as it relates to oil and gas matters in the Rocky Mountain area.
Environmental Expert. When an Environmental Expert is required to be engaged pursuant to Sections 17.1(c) and 17.1(d), the following applies: (i) The Sellers and the Purchasers shall grant the Environmental Expert access to all relevant (i) information, (ii) personnel of the Business of the Group Entities and (iii) Company Sites to the extent such access is necessary to the Environmental Expert's investigation of the issue or issues in dispute (the "Expert Investigation"). The Sellers and the Purchasers shall be entitled, in accordance with any confidentiality requirements, to participate in the Expert Investigation and any related oral hearings together with their respective employees, professional advisors and other Representatives and provide their opinions in writing if requested. Sellers and Purchasers shall use their best efforts to ensure that the Environmental Expert properly informs the Sellers and the Purchasers, without undue delay, as to the scope, date and expected duration of any Expert Investigation. (ii) The costs of the Environmental Expert shall be borne by the Sellers and the Purchasers pursuant to the principles of Section 91 et seq. of the German Civil Procedure Code (Zivilprozessordnung, ZPO).
Environmental Expert. For effective implementation and management of the EMP, the PMC has an Environmental Expert with two Jr. Environmental Executives to deal with the environmental issues of the project. These officers shall interact with the Road Manager to ensure that the mitigation and enhancement measures mentioned in the EMP are adhered. Prime responsibility shall be to apprise the Team Leader of PMC and the Road Manager about the ground conditions. Environmental Expert shall also monitor the requisite clearances and the NOCs for the project and shall also strictly supervise the adherence to the EMP. The qualifications and responsibilities of Environmental Expert are given in Box-1.  Postgraduate in Environmental Science / Environmental Management / degree in Civil Independent Engineering with specialisation in environment  7 years of total experience with a minimum of 3 years in the implementation of EMP of highway projects and an understanding of environmental, health and safety issues  Prior practical experience in State and National Highways would be an advantage  Primarily responsible for implementation of the EMP on site and ensuing that the environmental quality is meeting the standards laid down by CPCB and other related authority  The EE shall implement the EMP by assigning the necessary resources and attending such meetings as are required for the effective implementation of the EMP on behalf of M/s ▇▇▇▇▇ INFRA.  The EE shall interact with the Road Manager to ensure that the mitigation and enhancement measures mentioned in the EMP are adhered
