Common use of Environmental Attributes Clause in Contracts

Environmental Attributes. All right, title and interest in and to all benefits or entitlements associated with decreased environmental impacts now or in the future, direct or indirect, arising as a result of, relating to or in connection with the Energy Savings or Demand Savings for which the Participant Incentive has been paid, and the right to quantify and register these, including without limitation, any energy efficiency certificate, renewable energy certificate, credit, reduction right, offset, allocated pollution right, emission reduction allowance (collectively, the “Environmental Attributes”) are hereby transferred and assigned, or to the extent transfer or assignment is not permitted, held in trust for, by the Participant to the LDC and its successors and assigns. The LDC shall be entitled, unilaterally and without the consent of the Participant, to deal with such Environmental Attributes in any manner it determines. The Participant acknowledges that the LDC has further transferred and assigned to the IESO or may further transfer and assign to the IESO, such Environmental Attributes and that the IESO may direct the Participant in the same manner as the LDC and that the IESO or the LDC may direct the Participant to take such actions and do all such things necessary to certify, obtain, qualify and register with the relevant authorities or agencies such Environmental Attributes for the purpose of transferring such Environmental Attributes to the IESO. The Participant will be entitled to reimbursement of the cost of complying with such a direction subject to the LDC’s prior reasonable approval of such cost. Notwithstanding the foregoing, the Participant may market, report and publish the environmental benefits and savings results associated with its participation in the Retrofit Program.

All You acknowledge and agree that all right, title and interest in and to all benefits or entitlements associated with decreased environmental impacts now or in the future, direct directly or indirectindirectly, arising as a result of, relating to or in connection with the Energy Savings electricity savings, demand savings or Demand Savings for which natural gas savings from the Participant Incentive has Eligible Measures that have been paidinstalled under the Program Stream, and the right to quantify and register these, including without limitation, any energy efficiency certificate, renewable energy certificate, credit, reduction right, offset, allocated pollution right, and emission reduction allowance (collectively, the “Environmental Attributes”) are hereby transferred and assignedassigned to, or to the extent transfer or assignment is not permitted, held in trust forin favour of the IESO (with respect to Environmental Attributes arising as a result of, by relating to, or in connection with the Participant electricity savings and demand savings) or Enbridge (with respect to Environmental Attributes arising as a result of, relating to, or in connection with the LDC and its successors and assignsnatural gas savings). The LDC shall Program Administrators will be entitled, unilaterally and without the consent of the Participantyour consent, to deal with such Environmental Attributes in any manner it the relevant Program Administrator determines. The Participant acknowledges You further acknowledge and agree that the LDC has further transferred and assigned to the IESO or may further transfer and assign to the IESO, such Environmental Attributes and that the IESO relevant Program Administrator may direct the Participant in the same manner as the LDC and that the IESO or the LDC may direct the Participant you to take such actions and do all such things necessary to certify, obtain, qualify quantify, and register with the relevant authorities or agencies such Environmental Attributes for the purpose of transferring transferring, assigning, or holding in trust, such Environmental Attributes to and for the IESOProgram Administrator. The Participant You shall comply with any such directions and will be entitled to reimbursement of the cost of complying with such a direction subject direction, provided that the relevant Program Administrator, acting reasonably, has approved such cost in writing prior to the LDC’s prior reasonable approval of such cost. Notwithstanding the foregoing, the Participant may market, report and publish the environmental benefits and savings results associated with its participation in the Retrofit Programcost being incurred by you.

Notwithstanding the foregoing, the Participant may market, report and publish the environmental benefits attributes, benefits, and savings results associated with its participation in the Retrofit Program.

Environmental Attributes. All In accordance with and subject to the terms and conditions of this Agreement, commencing on the Test Commencement Date and continuing through the end of the Term, LUB shall have any and all right, title title, and interest in and to Environmental Attributes and associated RECs, as applicable, equal to the amount of Energy Output. Seller shall execute all benefits necessary documentation, bear all cost, and take all other necessary action to register, receive, authenticate, attest, and transfer to LUB any and all RECs and other Environmental Attributes as promptly as practicable; provided that issuance of RECs shall be in accordance with a tracking or entitlements certification system selected by LUB. In the event LUB requires “Green-e” certification associated with decreased environmental impacts now the Project, Seller will cooperate in all necessary actions to achieve such certification. RECs and other Environmental Attributes shall be for use and disposition as determined only by LUB or in any entity to whom LUB may grant permission to market, transfer, or otherwise dispose of the future, direct RECs or indirect, arising as a result of, relating other Environmental Attributes; and neither the Environmental Attributes nor the associated energy shall be claimed or otherwise referenced by Seller with respect to or in connection with the Energy Savings or Demand Savings for which the Participant Incentive has been paid, and the right to quantify and register these, including without limitation, any energy efficiency certificateRES, renewable energy certificategoal, creditFederal, reduction right, offset, allocated pollution right, emission reduction allowance (collectively, the “Environmental Attributes”) are hereby transferred and assignedstate, or local renewable energy requirement, renewable energy procurement, renewable portfolio standard, or other renewable energy mandate, standard, or commitment. Seller agrees to be at all times fully compliant with the requirements of the Federal Trade Commission’s “Green Guides,” 77 Federal Register 62122, 16 Code of Federal Regulations, Part 260, in any communication concerning the Project, energy from the Project, or the RECs. LUB prohibits Seller from collecting for its benefit cryptocurrency based upon or relating to the extent transfer or assignment is not permitted, held in trust for, by the Participant to the LDC and its successors and assigns. The LDC shall be entitled, unilaterally and without the consent of the Participant, to deal with such Environmental Attributes in any manner it determines. The Participant acknowledges that the LDC has further transferred and assigned to the IESO or may further transfer and assign to the IESOrenewable generation, such Environmental Attributes and as “SolarCoin.” Representations by Seller or any other entity that the IESO may direct the Participant imply use of, title to, or interest in the same manner renewable energy are prohibited except as the LDC and that the IESO or the LDC LUB may direct the Participant to take such actions and do all such things necessary to certify, obtain, qualify and register with the relevant authorities or agencies such Environmental Attributes for the purpose of transferring such Environmental Attributes to the IESO. The Participant will be entitled to reimbursement of the cost of complying with such a direction subject to the LDC’s prior reasonable approval of such cost. Notwithstanding the foregoing, the Participant may market, report and publish the environmental benefits and savings results associated with its participation in the Retrofit Programpermit.

Notwithstanding the foregoing, the Participant may market, report and publish the environmental benefits and savings results associated with its participation in the Retrofit Audit Funding Program.
