Common use of Entity Name Change Clause in Contracts

Entity Name Change. On the Closing Date, Seller agrees to file with the Nevada Secretary of State the proper document(s) to change Seller’s entity name from U-Swirl Yogurt, Inc. to a name that does not contain the name “U-Swirl,” “U Swirl,” “Swirl,” or any similar name. Seller will advise Buyer of that new entity name prior to or at Closing. Seller will not thereafter change its entity name back to U-Swirl Yogurt, Inc. or to any name that contains the name “U-Swirl,” “U Swirl,” “Swirl,” or any similar name. References to Seller in this Agreement are to Seller as it is renamed after the name is changed.
