Entity Authorization Clause Samples

The Entity Authorization clause establishes that a party entering into the agreement has the legal authority and proper authorization to do so on behalf of the entity it represents. Typically, this clause requires that the signatory has obtained all necessary internal approvals, such as board resolutions or consents, and is not acting beyond their powers. By including this provision, the agreement ensures that commitments made are valid and binding, thereby reducing the risk of disputes over whether the entity is properly obligated under the contract.
