Entitlement to Indemnity. The Claimant shall be entitled to receive payment for all amounts that (i) Respondent has agreed to pay pursuant to a written memorandum between the Seller Representative and Pioneer pursuant to Section 9.7(b) or (ii) the Respondent has been found liable to pay pursuant to a final, non-appealable order of a court of competent jurisdiction.
