Common use of Entire Agreement; Effectiveness of Agreement Clause in Contracts

Entire Agreement; Effectiveness of Agreement. This Agreement, the Option Agreement and any other agreement entered into between the Company and Executive with respect to the issuance of any equity securities of the Company or other equity awards relating to the Company set forth the entire agreement of the Parties hereto and shall supersede any and all prior agreements and understandings concerning the Executive’s employment by the Company. This Agreement may be changed only by a written document signed by the Executive and the Company.

This Agreement, the RSA, the Option Agreement (in each case subject to the Plan) and any other agreement entered into between the Company and Executive with respect to the issuance of any equity securities of the Company or other equity awards relating to the Company set forth the entire agreement of the Parties hereto and shall supersede any and all prior agreements and understandings concerning the Executive’s employment by the Company. This Agreement may be changed only by a written document signed by the Executive and the Company.

This Agreement may be changed only by a written document signed by the Executive and the Company.

This Agreement, the Option Agreement and any other agreement entered into between the Company and Executive with respect to the issuance of any equity securities of the Company or other equity awards relating to the Company set sets forth the entire agreement of the Parties parties hereto and shall supersede any and all prior agreements and understandings concerning the Executive’s 's employment by the Company; provided, however, that the Executive and the Company have entered into a side letter regarding the accelerated vesting of restricted stock units and stock options under certain specific circumstances. This Agreement may be changed only by a written document signed by the Executive and the Company.
