Common use of Entire Agreement and Waiver Clause in Contracts

Entire Agreement and Waiver. 8.1 This Agreement constitutes the entire Agreement between the parties in relation to the subject matter of this Agreement and (to the extent permissible by law) supersedes all prior representations or oral or written agreements between the parties with respect to that subject matter. This is subject to the overriding consideration that neither party is attempting to exclude any liability for fraudulent statements (including fraudulent pre- contractual misrepresentations on which the other party can be shown to have relied).
