Common use of Entire Agreement, Amendments and Waiver Clause in Contracts

Entire Agreement, Amendments and Waiver. (a) This Agreement, the exhibits, the schedules and other writings referred to herein or delivered pursuant hereto that form a part hereof contain the entire understanding of the parties with respect to its subject matter. This Agreement supersedes all prior agreements and understandings between the parties with respect to its subject matter.

Entire Agreement, Amendments and Waiver. (a) This Agreement, the exhibits, the schedules and other writings referred to herein or delivered pursuant hereto that form a part hereof contain the entire understanding understanding, both written and oral, of the parties with respect to its subject matter. This Agreement supersedes all prior agreements and understandings between the parties with respect to its subject matter.

This Agreement supersedes all prior agreements and understandings between the parties with respect to its subject matter. Notwithstanding the foregoing, all provisions of the Letter of Intent relating to Buyer's distribution rights shall remain in full force and effect following the execution of this Agreement and be enforceable by Buyer in accordance with their terms.
