Common use of Engineering Reports Clause in Contracts

Engineering Reports. (a) Not less than forty-five (45) days prior to each Scheduled Redetermination Date, commencing with the Scheduled Redetermination Date to occur on December 1, 2005, the Borrower shall furnish to the Agent and the Lenders a Reserve Report. The Reserve Report for the June 1 redetermination shall be prepared by certified independent petroleum engineers or other independent petroleum consultant(s) acceptable to the Agent and the Reserve Report for the December 1 redetermination shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately proceeding June 1 Reserve Report.

The February 15 Reserve Report for the June 1 redetermination of each year shall be prepared by certified independent petroleum engineers or other independent petroleum consultant(s) acceptable to the Agent Lender and the August 15 Reserve Report for the December 1 redetermination of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately proceeding June 1 February 15 Reserve Report.
