Engagements. Subject to the restrictions of this Section 2.1, Owner hereby engages Manager to manage the Project, and Manager accepts such engagement and agrees to perform the services set forth herein. Such engagement shall not commence with respect to any particular Project until Owner, in its sole discretion, has the ability to appoint or hire the Manager. Further, Owner may elect to exclude any Project from the terms of this Agreement upon written notice to Manager delivered by Owner within ten (10) days following the later of (i) Owner’s acquisition of a direct or indirect equity interest in such Project or (ii) the date on which Owner, in its sole discretion, has the ability to appoint or hire the Manager with respect to such Project. Owner has the right to include any previously excluded Project ten (10) days following delivery of written notice from Owner to Manager. Notwithstanding the foregoing, Manager shall be entitled to an Oversight Fee pursuant to Section 4.1 with respect to any Project excluded from the terms of this Agreement, but only after Owner, in its sole discretion, has the ability to appoint or hire the Manager for such Project.

Engagements. A. The Performer shall be notified at the time of call of the part to be played, date, time, and place of recording, and the amount of time contracted for and type of announcement to be recorded. The call must state the number and length of announcements and the estimated time required for recording. In any case, when a Performer has a bona fide engagement which may conflict with the recording session, beyond the time of his call, Producer agrees that if the Performer is advised of such conflict at the time of the call, the Performer's attendance at such conflict shall not be considered a breach of contract and agrees to pay Performer according to the Performer's contracted call notwithstanding such conflict. No Performer employed at minimum scale rate shall be requested to divulge any information on exclusivity. All Performers or their representatives will be informed at the time of the audition or interview, if any, and at the time of hiring, of the intended initial class and scope of use of the commercial. In the case of a demo or copy test (i.e., non-air commercial), Producer must advise the Performer of such anticipated use at the time of auditions as well as engagement. Any performer who is placed on “hold” shall be considered engaged.

For the duration of this Agreement and any extensions hereto or renewals hereof, Manager shall have a right of first refusal to manage, on the terms and subject to the conditions of this Agreement, all Projects. Prior to the time Owner acquires such an interest in a Project or at which Owner has the ability to appoint or hire the Manager, Owner shall notify Manager of such acquisition or appointment and offer Manager the right to manage such Project on the terms and subject to the conditions of this Agreement, if the appropriate executives of the Manager, which shall include the Behringer Nominees (as defined in the Master Modification Agreement), are not then aware of such acquisition or appointment, and shall promptly provide the Manager with all reasonably requested information with respect to such Project. Manager shall then have the right, in its sole discretion, to accept or not accept such offer. If Manager provides written notice to Owner that it does not accept such offer, then Owner shall have the right to enter into an agreement with a third party to provide such management services, on substantially the same terms as this Agreement or any other terms that are not more favorable to such third party. Owner has the right to appoint Manager to manage any Project with respect to which Owner previously contracted for management services with a third-party property manager upon ten (10) days written notice from Owner to Manager. Manager shall be entitled to an Oversight Fee pursuant to Section 4.1 in the event that Owner, if and to the extent permitted by this Section 2.1, contracts directly with a third-party property manager not affiliated with Manager with respect to any Project for which Owner had the ability to appoint or hire the Manager.

Engagements. IMFs shall adopt practices within client engagements and particularly within engagement letters to support the position of PrimeGlobal as an association of independent firms. The following language shall be used in engagement letters regarding the relationship with PrimeGlobal: “The firm is an independent member of PrimeGlobal, the global association of advisory and accounting firms. No PrimeGlobal member firm is an agent or partner of PrimeGlobal or of any other member firm. No PrimeGlobal member firm has the authority to enter any legal obligations on behalf of PrimeGlobal or any other member firm. If an IMF is introduced to another IMF, this firm specifically denies any liability for any work performed by that IMF. The IMF shall make its own contractual arrangements with that IMF for work that they perform. The fact that you may have been introduced to us by another PrimeGlobal member firm does not make that firm, its partners or its employees responsible for any of our acts or omissions. This firm is not the agent or partner of PrimeGlobal or any other member firm and does not have the authority to enter into legal obligations on behalf of either PrimeGlobal or any other member firm thereof. You agree that this firm has the sole liability for any work performed under this engagement and you undertake not to make any claim or bring any proceedings against either PrimeGlobal or any other member of PrimeGlobal in relation to work covered by this engagement.”
Engagements. (a) Except as set forth in Schedule 4.16, all services provided by Seller under the Completed Engagements and In-Process Engagements have in all material respects been in conformity with all applicable commitments and all express and implied warranties under the Completed Engagements and In-Process Engagements, and Seller has not been negligent in the provision of any such services.
