Common use of Enforcement of Purchaser and Responsible Party Obligations Clause in Contracts

Enforcement of Purchaser and Responsible Party Obligations. Upon discovery by any of the parties hereto of a breach of a representation or warranty made by the Purchaser or Responsible Party pursuant to the Responsible Party Agreements, the party discovering such breach shall give prompt written notice thereof to the other parties to this Agreement and the Responsible Party. The Trustee shall take such action, with the Depositor's consent, with respect to such breach under the Responsible Party Agreements as may be necessary or appropriate to enforce the rights of the Trust with respect thereto.

The Trustee shall take such actionaction (at its option with respect to repurchases relating to early payment default), with the Depositor's ’s written consent, with respect to such breach under the related Responsible Party Agreements as may be necessary or appropriate to enforce the rights of the Trust with respect thereto.
