Enforcement Costs and Expenses. Ideal shall, from time to time on demand of the Agent, reimburse the Agent, the Security Trustee and each of the Lenders for all costs and expenses (including legal fees and a reasonable estimate of the allocable cost of in-house counsel and staff) together with VAT thereon incurred in or in connection with the termination of this Agreement or the preservation and/or enforcement of any of the rights of any of the Beneficiaries under any of the Finance Documents.
