Common use of Enforceability of Covenant Clause in Contracts

Enforceability of Covenant. Executive and the Company agree that Executive's obligations under the covenant not to compete is separate and distinct from other provisions of this Agreement, and the failure or alleged failure of the Company to perform its obligations under any other provisions of this Agreement shall not constitute a defense to the enforceability of this covenant not to compete.

The Executive and the Company agree that the Executive's obligations under the nondisclosure covenant not to compete contained herein is separate and distinct from other provisions of this Agreement, and the failure or alleged failure of the Company to perform its obligations under any other provisions of this Agreement (other than its payment obligations hereunder) shall not constitute a defense to the enforceability of this covenant not to competethe nondisclosure covenant.
