Phoenix shall notify the Marketing Agent of marketing conflicts with Phoenix's marketing efforts to such potential customers. In case of conflict, the senior sales managers of Phoenix and the Marketing Agent shall determine whose sales force shall market to the customer. If no resolution can be reached, the decision of Phoenix as to such customer shall be final.
