Encumber. None of Chem-Met, the TPS Trust nor the ▇▇▇▇▇▇▇▇ Trusts shall sell, pledge, encumber or otherwise hypothecate or transfer or grant an option, warrant or right to sell or dispose of any shares of capital stock of Chem-Met prior to the Closing other than pursuant to this Agreement.
