Common use of Employment of Agents and Counsel Clause in Contracts

Employment of Agents and Counsel. The Collateral Agent may execute any of its duties as Collateral Agent under this Agreement or the other Documents by or through employees, agents and attorneys-in-fact and shall not be responsible to any of the parties hereto for the default or misconduct of any such employees, agents or attorneys-in-fact selected by the Collateral Agent acting in the absence of gross negligence and willful misconduct. The Collateral Agent shall be entitled to advice of counsel concerning all matters pertaining to the agency hereby created and its duties hereunder.

Employment of Agents and Counsel. The Collateral Agent may execute any of its duties as the Collateral Agent hereunder and under this Agreement or the other Documents any Collateral Document by or through employees, agents agents, and attorneys-in-fact and shall not be responsible answerable to any of the parties hereto Noteholders, except as to money or securities received by it or its authorized agents, for the default or misconduct of any such employees, agents or attorneys-in-fact selected by the Collateral Agent acting in the absence of gross negligence and willful misconductit. The Collateral Agent shall be entitled to advice of counsel concerning in all matters pertaining to the agency hereby created Collateral Agent's duties hereunder and its duties hereunderunder the Collateral Documents.

The Collateral Agent shall be entitled to advice of counsel concerning all matters pertaining to the agency created hereby created and under the Security Documents and its duties hereunderas Collateral Agent.

The Collateral Agent may execute undertake any of its duties as Collateral Agent hereunder and under this Agreement or the other Documents any Transaction Document by or through employees, agents agents, and attorneys-in-fact and shall not be responsible liable to any of the parties hereto Investor for the default or misconduct of any such employees, agents or attorneys-in-fact selected in good faith by the Collateral Agent acting in the absence of gross negligence and willful misconductAgent. The Collateral Agent shall be entitled to obtain and rely on advice of counsel concerning all matters pertaining to the agency hereby created and its duties hereunderhereunder and under any Transaction Document.
