Employee Nondisclosure and Developments Agreement. One of the conditions of Key Employee’s employment with the Company is the maintenance of the confidentiality (and proprietary nature) of the Company’s proprietary and confidential information. Key Employee previously executed and delivered to the Company an Employee Nondisclosure and Developments Agreement (the “Confidentiality Agreement”), the terms and conditions of which are (i) incorporated herein by reference and (ii) reaffirmed by Key Employee as of the date of this Agreement.
