Common use of Emergency Replacement Clause in Contracts

Emergency Replacement. Tripwire may replace a Sub-Processor if the need for the change is urgent and necessary to provide the Services and the reason for the change is beyond Tripwire’s reasonable control. In such instance, Tripwire shall notify Customer of the replacement as soon as reasonably practicable and without undue delay, and Customer shall retain the right to object to the replacement Sub-Processor pursuant to Section 4.2 above.
