Emergency Management Powers. Operator shall exercise emergency management powers in respect of any aspect of the operation and maintenance of the Plants and ▇▇▇▇▇ to take such action as a prudent Operator or Owner of the Plants and ▇▇▇▇▇ would normally take in the circumstances (the "Emergency Management Powers"); and such action shall not require prior approval of Owner, provided that (i) Operator reasonably believes that immediate action is necessary to safeguard life or property or to prevent or minimize an interruption in the production of electric energy by the Plants or the performance of the ▇▇▇▇▇, and (ii) Operator is unable due to events beyond its control or, acting reasonably, determines that it is impractical to obtain Owner's prior written approval for the performance of a Major Corrective Maintenance Work, as the case may be. Upon the exercise of the Emergency Management Powers, Operator shall forthwith notify Owner in writing of the nature of the Emergency Management Powers exercised by it, and the reasons for exercising the Emergency Management Powers.
