Common use of EMBODIMENTS Clause in Contracts

EMBODIMENTS. All notes, data, reference materials, sketches, drawings, memoranda, documentation and records in any form or media in any way incorporating or reflecting any Confidential Information or Trade Secret of the Disclosing Party shall belong exclusively to the Disclosing Party and Recipient agrees to turn over all copies of such materials in Recipient's control, custody or possession to the Disclosing Party upon request or on the Termination Date, whichever is earlier. Recipient agrees to certify in writing that such action has been completed.
