Common use of ELITE Representations Clause in Contracts

ELITE Representations. ELITE hereby represents and warrants to TPN that (a) it has obtained all necessary licenses, authorizations and approvals required by applicable Law, including those required by the FDA, DEA or any other applicable regulatory agency to enter into this Manufacturing Agreement and perform its obligations hereunder; (b) the execution, delivery and performance of this Manufacturing Agreement by ELITE does not conflict with or constitute a material breach of any order, judgment, agreement, or instrument to which it is a party; (c) the execution, delivery and performance of this Manufacturing Agreement by ELITE does not require the consent of any person; (d) none of its officers or directors has ever been debarred or convicted of a felony under the laws of the United States for conduct relating to the development or approval of a drug product or relating to the marketing or sale of a drug product.
