Elevate Separate Tax Returns. Elevate shall prepare and timely file (taking into account applicable extensions) all Elevate Separate Tax Returns and shall timely remit all Taxes shown to be due and payable on such Tax Returns to the applicable Taxing Authority. Except as otherwise provided under Section 2.1(f), Elevate shall be entitled to all refunds shown to be due and payable on Elevate Separate Tax Returns.
