EIFS. Participation Right shall not apply to any issuance of shares or securities issued or sold by the Company (A) pursuant to this Agreement, the Stock Purchase Agreement or the EIF Warrant Agreement or (B) pursuant to any bona fide employee benefit or incentive plan approved by the Board of Directors. EIF's Participation Right shall expire following a Qualified Public Offering.
