Common use of Effects of This Transaction Clause in Contracts

Effects of This Transaction. Neither the execution or delivery of this Agreement nor the performance of this Agreement and the consummation of the transactions contemplated hereby will, with or without notice or lapse of time, result in, or give any other Person the right or option to cause or declare: (i) a loss of, or Encumbrance or restriction on, any Business IP or any license to Business IP; (ii) a breach of any license agreement; (iii) the release or delivery of any Business IP to any other Person; or (iv) the grant, assignment, or transfer to any other Person of any license or other right or interest under, to, or in any Business IP.

Effects of This Transaction. Neither the execution execution, delivery or delivery performance of this Agreement nor the performance consummation of this Agreement and the consummation any of the transactions contemplated hereby by this Agreement will, with or without notice or lapse of time, result in, or give any other Person the right or option to cause or declare: (i) a loss of, or Encumbrance or restriction on, any Business IP or any license to Business Company IP; (ii) a breach of or default under any license agreementCompany IP Contract; (iii) the release release, disclosure or delivery of any Business Company IP by or to any escrow agent or other Person; or (iv) the grant, assignment, assignment or transfer to any other Person of any license or other right or interest under, to, to or in any Business of the Company IP.

Effects of This Transaction.
