Common use of Effects of This Transaction Clause in Contracts

Effects of This Transaction. Neither the execution, delivery, or performance of this Agreement (or any of the ancillary agreements) nor the consummation of any of the transactions contemplated by this Agreement (or any of the ancillary agreements) will, with or without notice or lapse of time, result in, or give any other Person the right or option to cause or declare, (i) a loss of, or Lien on, any Company Intellectual Property; or (ii) the release, disclosure, or delivery of any Company Intellectual Property by or to any escrow agent or other Person; or (iii) the grant, assignment, or transfer to any other Person of any license or other right or interest under, to, or in any of the Company Intellectual Property.

Effects of This Transaction. Effects of This Transaction. Neither the execution, delivery, or performance of this Agreement (or any of the ancillary agreements) agreements referred to in this Agreement nor the consummation of any of the transactions contemplated by this Agreement (or any of the ancillary agreements) Transactions will, with or without notice or lapse of time, result in, or give any other Person the right or option to cause or declaredeclare under any Contract of Seller, (i) a loss of, or Lien Encumbrance on, any Company Intellectual PropertySeller IP; or (ii) a breach of or default under any Seller IP Contract; (iii) the release, disclosure, or delivery of any Company Intellectual Property Seller IP by or to any escrow agent or other Person; or (iiiiv) the grant, assignment, or transfer to any other Person of any license or other right or interest under, to, or in any of the Company Intellectual PropertySeller IP.

Effects of This Transaction. Neither the execution, delivery, delivery or performance of this Agreement (or any of the ancillary agreements) nor the consummation of any of the transactions contemplated by this Agreement (or any of the ancillary agreements) will, with or without notice or lapse of time, result in, or give any other Person the right or option to cause or declare, : (i) a loss of, or Lien Encumbrance on, any Acquired Company Intellectual PropertyIP; or (ii) a breach of or default under any Acquired Company IP Contract; (iii) the release, disclosure, disclosure or delivery of any Acquired Company Intellectual Property IP by or to any escrow agent or other Person; or (iiiiv) the grant, assignment, assignment or transfer to any other Person of any license or other right or interest under, to, to or in any of the Acquired Company Intellectual PropertyIP.

Effects of This Transaction. Neither To the Knowledge of the Seller, neither the execution, delivery, or performance of this Agreement (or any of the ancillary agreements) agreements referred to in this Agreement nor the consummation of any of the transactions contemplated by this Agreement (or any of the ancillary agreements) Transactions will, with or without notice or lapse of time, result in, or give any other Person the right or option to cause or declare, (ia) a loss of, or Lien Encumbrance on, any Company Intellectual PropertySeller IP; (b) a breach of or default under any Seller IP Contract; (iic) the release, disclosure, or delivery of any Company Intellectual Property Seller IP by or to any escrow agent or other Person; or (iiid) the grant, assignment, or transfer to any other Person of any license or other right or interest under, to, or in any of the Company Intellectual PropertySeller IP.

Effects of This Transaction.
