Common use of Effectiveness; Binding Effect Clause in Contracts

Effectiveness; Binding Effect. This Agreement amends, restates and replaces in its entirety the Prior Stockholders Agreement and is binding on all the parties to the Prior Stockholders Agreement, and the failure of one or more parties to the Prior Stockholders Agreement to sign this Agreement shall not affect such effectiveness. Except as otherwise provided herein, this Agreement shall be binding upon and inure to the benefit of and be enforceable by the parties hereto and their respective successors and permitted assigns.
