Common use of Effectiveness; Binding Effect; Ratification Clause in Contracts

Effectiveness; Binding Effect; Ratification. (a) This Amendment shall become effective as of the Effective Date and binding on the parties hereto and their respective successors and assigns upon receipt by the Administrator and the Funding Agent of (i) executed counterparts hereof from each of the parties hereto and (ii) the fees and reasonable expenses of the Administrator and the Funding Agent (including fees of counsel) incurred in connection with the negotiation, execution and delivery of this Amendment.

(a) This Amendment shall become effective effective, as of the Effective Date date first set forth above upon receipt by the Administrator of executed counterparts hereof from each of the parties hereto, and thereafter this Amendment shall be binding on the parties hereto and their respective successors and assigns upon receipt by the Administrator and the Funding Agent of (i) executed counterparts hereof from each of the parties hereto and (ii) the fees and reasonable expenses of the Administrator and the Funding Agent (including fees of counsel) incurred in connection with the negotiation, execution and delivery of this Amendmentassigns.
