Common use of Effective Termination Date Clause in Contracts

Effective Termination Date. Effect of Notice of Termination or Non-Renewal. (a) Effective Termination Date. The effective termination date of this Agreement (the “Termination Date”) shall be (i) in the event a notice of non-renewal is delivered pursuant to Section 13.1, the expiration date of the then-current term; (ii) in the event a notice of termination is delivered pursuant to Section 13.2 or 13.3 (other than pursuant to Section 13.2(a) or 13.3(a)), the date specified in such notice, which shall not be less than 90 days after the date notice of termination is received by the non-terminating party; and (iii) upon the occurrence of any event described in Sections 8.9 (that require termination), 13.2(a) or 13.3(a), immediately without requirement of any notice.

The effective termination date of this Agreement (the “Termination Date”) shall be (i) in the event a notice of non-renewal is delivered pursuant to Section 13.1, the Initial Expiration Date or the expiration date of the then-current renewal term, as applicable; (ii) in the event a notice of termination is delivered pursuant to Section 13.2 or 13.3 (other than pursuant to Section 13.2(a), 13.2(d) or 13.3(a)), the date specified in such notice, which shall not be less than 90 days after the date notice of termination is received by the non-non- terminating party; and (iii) upon the occurrence of any event described in Sections 8.9 (that require termination), 13.2(a) or 13.3(a), immediately without requirement of any notice and (iv) in the event of a notice of termination delivered pursuant to Section 13.2(d), immediately prior to the consummation of the Combination that is the subject of such notice.
