Effective Date; Closing. The Effective Date of this Agreement shall be March 31, 1998. The Closing of the transactions contemplated by this Agreement shall occur upon the satisfaction of the conditions set forth in Article 7 of this Agreement, all of which conditions shall be satisfied on or before the Closing Date or such other date as required by the applicable conditions, and the escrow is broken.
