EFFECT - TERM - SUSPENSION. TERMINATION This Agreement is concluded either for a minimum term as stated on the order form then automatically renewed for an indefinite term, or for an indefinite term if no minimum term was stated on the order form. Subject to the minimum term as stated on the order form, the Agreement may be cancelled at any time by either party without compensation, by registered letter with acknowledgement of receipt giving not less than thirty (30) days’ notice. This notice period may not expire before the end of the minimum term set out in the order form (where applicable) and if the cancellation occurs before the end of the minimum term, the subscription fees for the entire minimum term are due. If the cancellation is effective during a billing cycle, the entire subscription fees for that billing cycle is due. After the expiry of the minimum term, the Restaurateur may at its discretion change its subscription plan at any time without prior notice and without incurring any costs. If the Restaurateur switches from a free or lower price plan to a paying or higher price plan, the due subscription payments will be calculated pro rata to the number of days of the billing cycle remaining using the paying or higher price plan. If the Restaurateur switches from a paying or higher price plan to the free or lower price plan, the Restaurateur remains liable for the payment of the paying or higher price plan for the entire billing cycle. The Restaurateur acknowledges that Users may reserve tables in the Restaurant up to the termination date of this Agreement and that such reservations may be for dates subsequent to the termination of this Agreement. Therefore, unless such reservation for meal dates subsequent to the termination of this Agreement are cancelled by TheFork the Restaurateur must keep the details of those reservations and must honour them. TheFork will invoice the Restaurateur for such reservations and the Restaurateur agrees to pay these invoices in accordance with the terms of this Agreement. If the Restaurateur is in breach of one or several material provisions of this Agreement, or if TheFork suspects that the Restaurateur is engaging in disloyal, bad faith or illegal conduct or committing fraud, TheFork reserves the right to suspend or limit its access to the Application or to any other service offered by TheFork for the time required by the Restaurateur to comply with its obligations.
