Effect on Existing Pooling Agreement. This Agreement ------------------------------------ amends and restates the Existing Pooling Agreement effective as of the date of this Agreement. This Agreement shall not effect a novation of the obligations of the parties to the Existing Pooling Agreement, but instead shall be merely a restatement and, where applicable, an amendment of the terms governing such obligations. The parties hereto hereby affirm, ratify and confirm all transfers of Receivables and other related assets pursuant to the Existing Pooling Agreement. The parties hereto agree that the existing Exchangeable Seller Certificate shall be deemed to have been replaced with the Seller Interest as further described herein.
