Effect of Exercise of Option to Litigate. (a) subject to sub-Clause 21.3(c) below, the courts of England shall have exclusive jurisdiction to settle any Dispute and each of the Trustees and the IsDB submits to the exclusive jurisdiction of such courts; (b) each of the Trustees and the IsDB agrees that the courts of England are the most appropriate and convenient courts to settle and Dispute and, accordingly, that it will not argue to the contrary; and (c) this Clause 21.3 is for the benefit of the Delegate only. As a result, and notwithstanding sub-Clause 21.3(a) above, the Delegate may take proceedings relating to a Dispute (Proceedings) in any other courts with jurisdiction. To the extent allowed by law, the Delegate may take concurrent Proceedings in any number of jurisdictions.

Effect of Exercise of Option to Litigate. In the event that a notice pursuant to Clause 29.3 (Option to Litigate) is issued, the following provisions shall apply:
(a) subject to sub-Clause 21.3(c) belowclause (c), the courts of England shall have exclusive jurisdiction to settle any Dispute and each of the Trustees and the IsDB party submits to the exclusive jurisdiction of such courts;
(b) each of the Trustees and the IsDB agrees that Issuer waives any objection to the courts of England on the grounds that they are the most appropriate and convenient courts an inconvenient or inappropriate forum to settle and Dispute and, accordingly, that it will not argue to the contraryany Dispute; and
(c) this Clause 21.3 29.4 is for the benefit of the Delegate Agents only. As a result, and notwithstanding sub-Clause 21.3(aclause (a) above, the Delegate any Agent may take start proceedings relating to a Dispute ("Proceedings") in any other courts with jurisdiction. To the extent allowed by law, the Delegate Agents may take start concurrent Proceedings in any number of jurisdictions.
