Effect of Assignment; Default. Tenant’s Termination Option is personal to the Original Tenant and any Permitted Transferee. Accordingly, if the Original Tenant shall assign this Lease prior to its exercise of Tenant’s Termination Option (other than to a Permitted Transferee), then Tenant’s Termination Option shall thereupon be deemed terminated and Tenant shall have no rights pursuant to this Section 2.3 and any purported exercise of Tenant’s Termination Option after the date of such assignment shall be deemed void and of no force or effect. Tenant’s assignment of this Lease after its exercise of Tenant’s Termination Option shall not in any way affect the validity of such exercise or the termination of this Lease as of the Early Termination Date in accordance with such exercise. Notwithstanding the foregoing, if Tenant shall be in default under this Lease beyond any applicable notice and cure periods at the time it exercises Tenant’s Termination Option or any time after Tenant exercises Tenant’s Termination Option, then, at Landlord’s election, such exercise shall be deemed void and of no force or effect.
