By its signature on the Existing Agreement or on the Amendment, each Credit Party acknowledges and agrees that this Agreement is a valid amendment of the Existing Agreement made in accordance with the terms thereof and binding against such Credit Party and that each Credit Document (other than this Agreement) shall continue to be valid and binding against such Credit Party and its assets and properties as of and after the Second Amendment Effective Date (with any references to the Existing Agreement in any such Credit Document construed as references to this Agreement).
