EBITDA Acknowledgment. Each of the Lenders acknowledges and approves the non-cash non-recurring charges in the aggregate amount of $24,000,000 as an addback to EBITDA pursuant to clause (e) of the definition thereof for the fiscal quarter ended June 30, 2021.
