Earned Portion. At any time, the portion of the EBITDA or FCF Restricted Stock Units, EBITDA or FCF Cash Performance Units, EBITDA or FCF Cash Performance Upside Units, and EBITDA or FCF Cash Upside Units which have become earned, as described in Section 3 of this Agreement.
