Earned Performance Share Units. (a) If the Employee remains continuously employed (including during the continuance of any leave of absence as approved by the Company or an Affiliate) by the Company or an Affiliate, the number of the Performance Share Units that will be earned pursuant to this Section 3(a) will be determined by reference to the Company’s Total Shareholder Return relative to the Total Shareholder Return of the Peer Group as provided in the table below: Company Total Shareholder Return Relative to Peer Group % of Performance Share Units Earned Below 50th percentile 0% 50th percentile 25% 75th percentile or above 50% Note: Interpolation between points in the table above will be on a straight-line basis.
