Common use of Early Redemption Events Clause in Contracts

Early Redemption Events. ING may redeem one or more series of the Notes, in whole but not in part, in certain circumstances where Additional Amounts would be required to be paid or upon the occurrence of a Loss Absorption Disqualification Event and where such Loss Absorption Disqualification Event is continuing, in each case, at a redemption price equal to 100% of the principal amount of the Notes to be redeemed plus accrued and unpaid interest thereon to, but excluding, the redemption date, subject to the consent of the relevant regulator and other conditions, as described in the section titled “Description of Notes—Redemption—Optional Tax and Regulatory Redemption”, beginning on page S-35 of the Preliminary Prospectus Supplement.
