Early Conversion Procedures Clause Samples
The Early Conversion Procedures clause outlines the process by which a convertible instrument, such as a note or preferred share, can be converted into equity before its originally scheduled conversion date. Typically, this clause specifies the conditions under which early conversion is permitted, the method for calculating the number of shares to be issued, and any required notifications or approvals. Its core practical function is to provide flexibility for both the issuer and the holder, allowing for the acceleration of conversion in response to certain events or opportunities, and thereby addressing the need for adaptability in changing business or financial circumstances.
Early Conversion Procedures. In the event of an Early Conversion, the Corporation shall provide notice of such conversion to each holder of Designated Preferred Stock to be converted (such notice, a "Notice of Early Conversion"). Such Notice of Early Conversion shall be mailed at least 30 days and not more than 60 days before the date fixed for conversion (the "Early Conversion Date"); provided, however, that if the Corporation elects to convert any or all of the Designated Preferred Stock on the Original Issue Date, then the Notice of Early Conversion may be given at any time (but not less than 3 days) prior to the Original Issue Date. The requirement to deliver a Notice of Early Conversion and the timing requirements for such delivery may be waived by each holder of Designated Preferred Stock in its sole discretion. Each Notice of Early Conversion given to a holder shall state:
(i) the Early Conversion Date;
(ii) the number of shares of Designated Preferred Stock to be converted and, if less than all the shares held by such holder are to be converted, the number of such shares to be converted from such holder;
(iii) the Conversion Rate then in effect and whether the Corporation will pay cash or issue shares of Common Stock (calculated in accordance with Section 6(e) above) in respect of accrued and unpaid dividends; and
(iv) the place or places where certificates for shares of Designated Preferred Stock are to be surrendered for issuance of certificates representing Shares.
