earlier Clause Samples
The 'earlier' clause establishes that, when multiple dates or events are referenced, the one that occurs first will be the operative or controlling point for a particular obligation or right. In practice, this means that if a contract specifies that an action must be taken by the earlier of two dates—such as a delivery date or a regulatory approval date—the party must act by whichever of those dates comes first. This clause ensures clarity and prevents ambiguity about deadlines, helping to avoid disputes over timing by clearly defining which event triggers the required action.
earlier. Royalties shall be payable by Medeva to the University in United States dollars by cheque or by electronic funds transfer to an account designated by the University. To the extent sales may have been made by Medeva in a foreign country such royalties shall be first determined in the currency in which the sales to which the royalties relate are made and then if necessary converted to their equivalent in United States dollars. The exchange rate to be used for the purposes of conversion into United States dollars will be the most favourable rate which Medeva can reasonably obtain from its bankers from time to time and upon the day upon which funds are converted.
