E-Commerce Access Points. Company shall provide Company-branded Account management website(s) (or portions of Company-branded websites serving such function) that provide for substantially the same account management and automatic payment functionality, and contain or are associated with substantially the same material, links and functionality with respect to the Accounts and the Program as existed immediately prior to the Effective Date. Company may implement such additional content and functionality as Company shall determine in its reasonable discretion, subject to Applicable Law; provided that (i) any such changes to content relating to the Program shall be deemed Solicitation Materials subject to review pursuant to Section 4.4, (ii) any changes to such functionality that implicate compliance with Applicable Law shall be evaluated and approved in accordance with Section 4.8 and (iii) any changes to such functionality that impose costs on Bank shall require approval of Bank (which approval shall not be unreasonably withheld, conditioned or delayed). Upon the mutual agreement of the parties, and subject to satisfaction of Company’s and Bank’s web linking security and branding standards, there may be hyperlinks from Bank’s E-Commerce Access Points to Company’s E-Commerce Access Points and/or from Company’s E-Commerce Access Points to Bank’s E-Commerce Access Points.   • Site Access Dell requires the right to access the APEX System in a timely way and as provided in the Service Offering Description to provide the Support Services.   • Remote Access Access to and use of the Data over the State Governmental Network (SGN) or Secure Access Washington (SAW) will be controlled by DSHS staff who will issue authentication credentials (e.g. a Unique User ID and Hardened Password) to Authorized Users on Contractor’s staff. Contractor will notify DSHS staff immediately whenever an Authorized User in possession of such credentials is terminated or otherwise leaves the employ of the Contractor, and whenever an Authorized User’s duties change such that the Authorized User no longer requires access to perform work for this Contract.

The undersigned is acquiring the Shares for investment for the undersigned's own account, not as a nominee or agent and not with the view to, or for resale in connection with, any distribution thereof. The undersigned acknowledges that the Company is a start-up company with no current operations, assets or operating history, which may possibly cause a loss of Purchaser’s entire investment in the Company.

  • Infrastructure (a) The Borrower has and will maintain a sufficient infrastructure to conduct its business as presently conducted and as contemplated to be conducted following its execution of this Agreement.

  • Restriction on Commencement of Distributions Notwithstanding any provision of this Agreement to the contrary, if the Executive is considered a Specified Employee at the time of Separation from Service, the provisions of this Section shall govern all distributions hereunder. Distributions which would otherwise be made to the Executive due to Separation from Service shall not be made during the first six (6) months following Separation from Service. Rather, any distribution which would otherwise be paid to the Executive during such period shall be accumulated and paid to the Executive in a lump sum on the first day of the seventh month following Separation from Service, or if earlier, upon the Executive’s death. All subsequent distributions shall be paid as they would have had this Section not applied.
