Common use of Duration of Agreement; Binding Effect Clause in Contracts

Duration of Agreement; Binding Effect. (a) The Indemnitors' obligations under this Agreement with respect to a Proceeding shall continue until and terminate on the date that the Indemnitee is no longer subject to that Proceeding (including any rights of appeal thereto and any Proceeding commenced by the Indemnitee pursuant to Section 12 of this Agreement).

(a) The Indemnitors' obligations under this This Agreement with respect to a Proceeding shall continue until and terminate on upon the date expiration of the applicable statute of limitations for claims against Indemnitee that are subject to indemnification pursuant to this Agreement; provided, that the rights of Indemnitee hereunder shall continue until the final termination of any Proceeding then pending in respect of which Indemnitee is no longer subject to that Proceeding (including any granted rights of appeal thereto indemnification or advance of Expenses hereunder and of any Proceeding commenced by the Indemnitee pursuant to Section 12 10 of this Agreement)Agreement relating thereto.
