Common use of Due Payment Clause in Contracts

Due Payment. All amounts which have fallen due to be paid to or in respect of the Seller Employee Benefit Plans by any Target Company on or before the date of this Agreement (including all insurance premiums, taxes and expenses) have been duly paid in full.

Due Payment. All amounts which have fallen due to be paid to or in respect of the Seller Employee Benefit Plans by any Target Company or member of the Sellers’ Group on or before the date of this Agreement (including all insurance premiums, taxes and expenses) have been duly paid in full.
